Overview: This presentation is designed to provide a general overview of U.S. securities law for practitioners in other areas of law. This presentation will address (i) situations in which the securities law may apply unbeknownst to practitioners in other areas of law and (ii) a general overview of ten common security law questions that practitioners in other areas of law may face.

Overview: This presentation will discuss lawyers as counselors to businesses. It will address this topic by focusing on the process of presenting bad or complicated news as an example of this specific role. It will also address how junior lawyers can be trained to grow into this role.

+ Evan Slavitt
Evan Slavitt is the Senior Vice President, General Counsel and Corporate Secretary for KYOCERA AVX Components Corporation, an international public corporation where he oversees all legal, environmental/safety, and insurance/risk management matters. Before joining AVX, Mr. Slavitt was a partner in Bodoff & Slavitt, LLP, where he concentrated his practice in complex commercial litigation and white-collar criminal defense. Mr. Slavitt is a frequent author and lecturer on legal matters as well as the author of one work of fiction. He is a graduate of Philips Exeter Academy, Yale University (B.A. and M.A. in economics) and the Harvard Law School, where he served as an editor of the Harvard Law Review. Mr. Slavitt was an assistant U.S. attorney from 1983 to 1987. Mr. Slavitt also serves as an arbitrator for the American Arbitration Association and others.

Project Delivery: An Overview of Public-Private Partnerships and Alternative Project Delivery Methods in the United States

Overview: This presentation will discuss the range of project delivery methods that may be utilized when delivering an infrastructure project. The presentation will focus on understanding risk allocation between the public and private sector in various delivery models (including the relationship of the public and private parties in long-term operations and maintenance agreements), procurement methodologies, and certain unique features of contracts utilizing alternative project delivery. With medium-sized cities like Greenville experience record growth, the need for social and transit infrastructure investment is apparent and national lessons-learned will provide value to counsel in advising public agencies and private investors.
+ Suyash Raiborde
Suyash Raiborde is an Associate with Kaplan Kirsch & Rockwell LLP in New York City. His practice focuses on public-private partnerships, alternative project delivery (such as design-build contracting), and construction matters nationally. Suyash routinely represents both public and private sector entities in the structuring, financing, procurement, contract negotiation, and contract administration of major infrastructure projects. Most recently, Suyash has focused his time representing airports in terminal redevelopment projects and transit authorities in autonomous vehicle infrastructure projects. His multi-jurisdictional practice enables him to understand market and political trends nationally in the infrastructure space. Suyash started his legal career in Greenville, SC.

Unrelated Business Income Tax (UBIT) Overview

Overview: Even though an organization is recognized as tax exempt, it still may be liable for tax on its unrelated business income. For most organizations, unrelated business income is income from a trade or business, regularly carried on, that is not substantially related to the charitable, educational, or other purpose that is the basis of the organization's exemption. This presentation will explain what UBIT is, what income it applies to, exceptions and special rules related to UBIT, and reporting requirements.

Catherine is a Senior Manager in the Forensic, Litigation Support and Valuation Services for Dixon Hughes Goodman. She has over 30 years of accounting experience including: audit, tax, corporate accounting, business consulting, forensic accounting, business valuation, and litigation support. Catherine assists business owners with valuation issues associated with transactions of a business, buy-sell agreements, transition planning, gift and estate planning. She also assists attorneys and their clients with the financial and economic issues in divorce, contract disputes, shareholder disputes, fraud, business interruption, lost profits, and complex commercial litigation. She has provided deposition and trial testimony relating to financial, accounting, economic, and valuation issues. She has also testified in arbitration hearings and has participated in numerous mediations.
